Terms of Service

Last Updated: September 28, 2026

These Terms of Service ("Terms") are a contract between you and the individual who operates the Clarus services under the trade name "Clarus" ("Clarus", "we", "us" or "our"). Clarus is not a corporation. They govern your access to and use of the Clarus website, application and related services (the "Services"). If you use the Services on behalf of a business, you confirm that you are authorized to bind that business, and "you" includes that business. By accepting these Terms, you agree to be bound by them; if you do not agree, do not use the Services. We expressly draw your attention to sections 5 (AI features and no professional advice), 9 (disclaimer), 10 (limitation of liability) and 11 (indemnification), which limit our responsibility and create obligations for you.

1. The Services and Eligibility

Clarus provides business management software, including financial tracking, document reading, tax estimates, reminders and an AI assistant (Clara). The Services are intended for businesses and professionals, for purposes related to their business activities. You must be at least 18 years old and able to enter into a binding contract to use the Services.

2. Your Account

You must provide accurate information and keep it up to date. You are responsible for keeping your login credentials confidential, for all activity under your account, and for the people you invite to your business and the permissions you give them. Notify us promptly of any unauthorized use of your account.

3. Acceptable Use

You agree to use the Services only for lawful purposes. You must not: upload unlawful content or content you have no right to use; transmit malicious code; attempt to gain unauthorized access to the Services, other accounts or our systems; interfere with or overload the Services; reverse engineer the Services except where the law allows it; resell the Services without our written permission; or use the Services to commit fraud or tax evasion.

4. Subscriptions and Payment

Some features require a paid subscription. Fees, billing periods and plan features are shown in the Services at the time of purchase. Payments are processed by Stripe. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are not refundable except where required by law. Prices do not include applicable taxes (such as GST and QST), which are added where required. We will give you at least 30 days' notice before any price increase takes effect, and you may cancel before then.

5. AI Features and No Professional Advice

The Services, including Clara and the document-reading features, use artificial intelligence. AI output may be inaccurate, incomplete or out of date. You must review all AI-generated drafts, extracted data, categories, calculations and answers before relying on them or saving them. CLARUS DOES NOT PROVIDE TAX, ACCOUNTING, LEGAL OR FINANCIAL ADVICE, and is not an accountant, tax preparer or lawyer. Tax estimates, reports and insights are provided for information only and are not a substitute for professional advice. You are solely responsible for your bookkeeping, tax filings and remittances (including GST and QST), payment of your bills, and compliance with your permit and licence obligations and their deadlines. Reminders are a convenience only; we do not guarantee that they will be sent or received. Consult a qualified professional before filing a tax return or making an important financial decision.

6. Your Data

You keep all rights to the data and files you submit to the Services ("Your Data"). You grant Clarus a non-exclusive, royalty-free licence to host, process, copy and display Your Data solely to provide and secure the Services for you. We do not use Your Data to train artificial intelligence models. You are responsible for Your Data, including having the right to submit any personal information about other people that it contains. You are responsible for keeping your own copies of the books and records that the law requires you to keep; the Services are not a record-keeping or backup service, and we recommend exporting Your Data regularly. Our Privacy Policy, which forms part of these Terms, explains how we handle personal information.

7. Our Intellectual Property

The Services, including their software, design, text and the Clarus name and logo, belong to Clarus or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Services for your internal business purposes. If you send us feedback or suggestions, we may use them without any obligation to you.

8. Availability and Changes to the Services

We may modify, add or remove features, and may interrupt the Services for maintenance, updates or reasons beyond our control. Some features may be identified as beta or experimental and may be less reliable. We do not guarantee that the Services will be available at all times or that Your Data will never be lost.

9. Disclaimer

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT ANY WARRANTY OR LEGAL GUARANTEE OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING AS TO QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY CALCULATION, EXTRACTION, TAX ESTIMATE, REMINDER OR AI OUTPUT WILL BE ACCURATE OR COMPLETE. You use the Services and rely on their results at your own risk.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLARUS, ITS OPERATOR, OWNERS, AFFILIATES, SUCCESSORS, EMPLOYEES, CONTRACTORS, AGENTS AND LICENSORS (THE "CLARUS PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA OR GOODWILL, OR FOR ANY TAX ASSESSMENT, PENALTY, INTEREST OR FINE, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, EXTRA-CONTRACTUAL LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE FOREGOING, THE CLARUS PARTIES ARE NOT RESPONSIBLE FOR DECISIONS YOU MAKE BASED ON THE SERVICES, FOR ERRORS IN AI OUTPUT, OR FOR DAMAGE CAUSED BY UNAUTHORIZED ACCESS TO YOUR ACCOUNT RESULTING FROM YOUR FAILURE TO PROTECT YOUR CREDENTIALS. THE TOTAL LIABILITY OF THE CLARUS PARTIES, TAKEN TOGETHER, FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CLARUS FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED CANADIAN DOLLARS (CA$100). Nothing in these Terms excludes or limits liability for bodily or moral injury, for material injury caused by intentional or gross fault, or any other liability that cannot be excluded or limited under applicable law, including the Civil Code of Québec and, if you are a consumer, the Consumer Protection Act (Québec).

11. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the Clarus Parties from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) brought by a third party and arising out of: (a) your breach of these Terms; (b) your violation of any law or of the rights of a third party; (c) Your Data, including personal information about other people that you submit; or (d) your tax filings, remittances and business decisions.

12. Suspension and Termination

You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access if you seriously or repeatedly breach these Terms, fail to pay, or if required to protect the Services, other users or to comply with the law; where reasonable, we will give you prior notice. We may also discontinue the Services by giving you at least 30 days' notice so that you can export Your Data. After termination, Your Data will be deleted in accordance with our Privacy Policy. Sections 5, 6, 9, 10, 11 and 15 survive termination.

13. Changes to These Terms

We may amend these Terms. We will notify you of material changes by email or in the Services at least 30 days before they take effect, describing the changes. If you do not agree, you may cancel your subscription and stop using the Services before the changes take effect. If you continue to use the Services after that date, you accept the amended Terms.

14. Assignment

You may not transfer your rights or obligations under these Terms without our written consent. We may transfer these Terms, in whole or in part, to a successor, including a corporation formed or controlled by the Operator of Clarus; after such a transfer, the successor alone is responsible for the obligations transferred.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada that apply there. Any dispute arising out of or relating to these Terms or the Services will be submitted to the competent courts of the Province of Québec, unless the law gives you the right to bring it elsewhere.

16. Language

These Terms and the Privacy Policy are available in French and in English. The French version was made available to you before you accepted them. If you accepted the English version, you expressly chose to be bound by the English version. Les présentes conditions sont disponibles en français.

17. General Provisions and Contact

These Terms and the Privacy Policy form the entire agreement between you and Clarus regarding the Services. If any provision is held invalid or unenforceable, it will be limited to the minimum extent necessary and the other provisions will remain in effect. Our failure to enforce a provision is not a waiver. We are not responsible for any delay or failure caused by events beyond our reasonable control. For any question about these Terms, contact us through the Contact page of the Services.
